1. Who we are

PANTEREX is operated as a software service ("the Service", "we", "us"). Contact for legal matters: legal@panterex.com. We are based in the United Kingdom.

2. What PANTEREX is — and isn't

What it is

PANTEREX is software that:

• Monitors public Solana wallet activity (whales) you choose to follow
• Generates a dedicated Solana "trading wallet" for you and holds its private key in encrypted form
• Executes Solana token swaps (buys and sells) from that trading wallet, automatically, based on the rules and filters you configure
• Executes those swaps via third-party DEX aggregators (currently Jupiter)
• Charges a per-trade software-usage fee based on your selected tier

What it isn't

• Not a financial advisor. We do not recommend tokens, trades, or strategies.
• Not a broker or exchange. Trades execute on third-party Solana protocols.
• Not your main wallet. Your personal wallet is never connected — only the dedicated trading wallet you fund is ever used.
• Not a regulated financial product under the UK Financial Services and Markets Act 2000.

3. Eligibility

You must be at least 18 years old and legally permitted to use cryptocurrency software in your jurisdiction. You confirm you are not a resident of, or located in, any country subject to comprehensive sanctions (currently including but not limited to: Cuba, Iran, North Korea, Syria, Russia, Belarus, and the contested regions of Ukraine).

4. Your account

• You are responsible for all activity on your account.
• Keep your password and any recovery phrase confidential. We cannot recover them for you.
• Tell us immediately if you suspect unauthorised access: hello@panterex.com.
• One person, one account. We may suspend duplicate accounts.

5. Your trading wallet

PANTEREX operates a dedicated trading wallet on your behalf. When you onboard, we generate a new Solana wallet for you and hold its private key in encrypted form so the bot can execute trades automatically according to your configured rules. Specifically:

• The trading wallet is funded only by you, and is separate from any personal wallet you own.
• Because we hold the encrypted key, you authorise us — through your bot configuration — to sign and submit buy and sell transactions from the trading wallet on your behalf, without per-trade approval.
• You can export the trading wallet's private key at any time, and you can withdraw its balance to an address you control at any time.
• We protect the key with AES-256 encryption at rest and never display it in plain text, but holding keys carries inherent risk; you accept that risk by funding the trading wallet.
• Only fund the trading wallet with amounts you can afford to lose. We cannot recover funds lost to market movements, configuration choices, or third-party protocol failures.

6. Fees

PANTEREX charges a per-trade software-usage fee based on your tier:

• CUB: 0.85% per trade, up to 3 tracked whales
• PANTHER: 0.6% per trade, up to 20 tracked whales
• APEX: 0.3% per trade, up to 50 tracked whales

Fees are deducted automatically from each swap via the DEX aggregator's platform-fee mechanism. There are no separate withdrawal fees, no hidden charges, and no recurring subscription. You can change tier at any time. Network gas (Solana priority fees) is paid separately to validators and is not part of our fee.

7. The bot does what you tell it

You configure the bot's behaviour: which whales to follow, trade size, take-profit levels, stop-loss, position limits, safety filters. The bot executes these rules. We do not select tokens for you. We do not predict performance. We do not guarantee any outcome — positive, negative, or neutral.

You can pause or stop the bot at any time. You can disconnect your wallet at any time. You can withdraw funds from your wallet at any time using your wallet provider's interface.

8. Risks

Cryptocurrency trading is high-risk. Algorithmic trading is high-risk. Automated whale-copy strategies are high-risk. You may lose some or all of the funds in your connected wallet. Read the full Risk Disclosure — accepting these Terms also means accepting that disclosure.

9. Acceptable use

You agree not to:

• Use the Service for money laundering, sanctions evasion, or any unlawful activity
• Reverse-engineer, decompile, or attempt to extract source code
• Resell, sub-license, or commercially redistribute the Service
• Submit false KYC information (where applicable in future)
• Use automated tools to scrape, abuse APIs, or evade rate limits
• Impersonate other users, PANTEREX staff, or third parties

We may suspend or terminate accounts that breach these rules without prior notice.

10. Intellectual property

The PANTEREX name, logos, dashboard design, and all software code are owned by us and protected by copyright and trademark law. You receive a personal, non-transferable, revocable licence to use the Service for its intended purpose. You don't own the software; you're permitted to use it.

11. Third parties

The Service depends on third-party infrastructure including Solana validators, RPC providers (Helius, public RPC), DEX aggregators (Jupiter), wallet providers (Phantom, Solflare, etc.), and data services (Birdeye, RugCheck, PumpPortal, DexScreener). These services have their own terms, uptime, and risks — we cannot guarantee their availability, accuracy, or security.

12. No warranties

The Service is provided "as is" and "as available" without any warranty, express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or that signals will be timely or accurate. You use the Service at your own risk.

13. Limitation of liability

To the maximum extent permitted by law:

• We are not liable for trading losses, missed trades, failed transactions, slippage, network congestion, validator failures, smart-contract bugs, or third-party service outages.
• Our total aggregate liability to you, for any claim arising from the Service, is capped at the total platform fees you have paid us in the 12 months preceding the claim.
• We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or lost opportunity.

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by UK law (including your statutory rights as a consumer under the Consumer Rights Act 2015 where applicable).

14. Indemnity

You agree to indemnify and hold us harmless from any claim, loss, or damage arising from your breach of these Terms, your unlawful use of the Service, or your violation of third-party rights.

15. Privacy and data

We collect minimal data: email, hashed password, connected wallet public address, account preferences, and trade history initiated through your account. We don't sell data, run advertising trackers, or share with marketing partners. See our Privacy Policy for the full picture. Cookies are essential-only — see the cookie notice on every page.

16. Changes to these Terms

We may update these Terms occasionally. Material changes will be communicated via email and a notice in the dashboard. Continued use of the Service after a change constitutes acceptance. Old versions remain accessible via our document archive.

17. Termination

You can stop using the Service at any time and delete your account in Account Settings. We can suspend or terminate accounts that breach these Terms, that we suspect of fraud or sanctions evasion, or that pose security risks. Funds in your connected wallet are unaffected by account termination — they're yours, in your wallet, always.

18. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer-protection laws of your country of residence give you the right to bring proceedings in your local courts.
